OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Either party may terminate a Services engagement in accordance with the terms specified in the applicable SOW. We may also terminate or suspend your access to our website immediately if you breach these Terms.
Upon termination, all provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality, disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or our Services shall first be addressed through good faith negotiation. If the dispute cannot be resolved through negotiation, the parties agree to submit to binding arbitration in Harris County, Texas, in accordance with the rules of the American Arbitration Association.
